LEGAL
Terms & Conditions
Pre-launch draft. Custodian is currently in development. These Terms & Conditions will be reviewed and finalized before public launch once the operating legal entity, commercial model, subscription plans, payment providers, production features, supported jurisdictions and applicable governing law have been confirmed.
Last updated: September 24, 2026
1. Introduction
These Terms & Conditions govern access to and use of Custodian, including the Custodian mobile application, website and related products, features and services.
Custodian is being developed as a business contact-management platform that allows businesses and authorized users to organize professional contacts, companies, notes, tags, reminders, follow-ups, relationship information and related business records.
By creating an account, accessing Custodian or using the service after these Terms become effective, you agree to be bound by these Terms and any additional terms that expressly apply to specific features or paid services.
If you do not agree to these Terms, you should not use Custodian.
2. Custodian operator
The legal entity responsible for operating Custodian will be identified in the final version of these Terms before public launch.
The operator's legal name, registered address and applicable contact information will be published once the production and commercial structure of Custodian has been finalized.
3. Eligibility
Custodian is intended primarily for professional and business use.
You may only create an account or use Custodian if you are legally capable of entering into a binding agreement under the laws applicable to you.
If you use Custodian on behalf of a company, organization or other legal entity, you represent that you have authority to accept these Terms on behalf of that entity.
Minimum age requirements will be finalized before public launch based on the jurisdictions in which Custodian is made available.
4. The service
Custodian is designed to help businesses organize and manage business relationships through private workspaces.
Depending on the version of the service and the features available, Custodian may provide functionality including:

Not every feature described on the website or in development materials is guaranteed to be available in every version, plan, country or device.
5. Accounts
Certain Custodian features require a registered account.
When creating or maintaining an account, you agree to provide information that is accurate and reasonably current.
You are responsible for activities performed through your account except where those activities result from circumstances for which Custodian is legally responsible.
You must not create an account using false information for the purpose of impersonating another person or organization.
6. Account security
You are responsible for taking reasonable steps to protect your Custodian account.
This includes:
- Using a secure password.
- Keeping login credentials confidential.
- Protecting devices used to access Custodian.
- Not sharing authentication codes with unauthorized persons.
- Promptly reporting suspected unauthorized account access.
Custodian personnel will not ask you to disclose your account password through ordinary support communications.
7. Business workspaces
Custodian may allow users to create or join business workspaces.
A workspace may contain contacts, companies, notes, reminders, tags, segments and other information belonging to or managed by the relevant organization.
Users may only access workspaces for which they have been granted authorization.
8. Workspace owners and administrators
Certain users may have elevated workspace permissions, such as Owner or Administrator roles.
Depending on the available features, those users may be able to:
- Invite other users.
- Remove workspace members.
- Assign or change user roles.
- Manage workspace settings.
- Access workspace information.
- Control certain permissions.
- Manage subscription settings.
- Export workspace information.
- Delete or archive certain workspace records.
Users who join a business workspace acknowledge that authorized workspace administrators may have access to information they create or store within that workspace.
9. Authority to manage a workspace
A person creating or administering a workspace on behalf of an organization represents that they have appropriate authority to do so.
Custodian may request reasonable verification where there is a dispute regarding ownership or control of a workspace.
Custodian is not responsible for resolving internal ownership, employment or management disputes between members of the same organization except where required by applicable law.
10. Workspace membership
Access to workspace information may depend on the user's assigned role and permissions.
Users must not attempt to access information or administrative functions beyond the permissions assigned to them.
When a user leaves an organization or is removed from a workspace, their access may be revoked by an authorized administrator.
11. User content
"User Content" means information, text, images, files, notes, contact records and other materials submitted to Custodian by users or business customers.
As between Custodian and the user or organization providing the User Content, the user or organization retains the rights it lawfully holds in that content.
Using Custodian does not transfer ownership of User Content to Custodian.
12. Permission to process User Content
By submitting User Content to Custodian, you authorize Custodian to host, store, reproduce, transmit, display and otherwise process that information only to the extent reasonably necessary to:
- Provide the service.
- Operate requested functionality.
- Synchronize data across authorized devices.
- Create backups.
- Protect the service.
- Provide technical support.
- Comply with applicable legal requirements.
This permission exists only for purposes connected to operating Custodian and does not transfer ownership of User Content to Custodian.
13. Business contact information
Custodian allows users to create records concerning professional contacts, customers, prospects, suppliers, partners and other business relationships.
You are responsible for ensuring that you have a lawful and appropriate reason to collect, enter, store and use information concerning those individuals.
You must comply with applicable privacy, data-protection, employment, marketing and communications laws when using contact information stored in Custodian.
14. Accuracy of contact information
Custodian does not independently verify every contact record created by users.
Users and business customers remain responsible for assessing the accuracy, relevance and appropriateness of information they choose to maintain in their workspaces.
15. Sensitive information
Custodian is designed primarily for ordinary professional and business information.
You should not use Custodian to store highly sensitive or specially protected personal information unless such processing is lawful, necessary and expressly supported by the relevant Custodian functionality.
This may include medical information, biometric data, government credentials, financial account credentials or other information subject to heightened legal protection.
16. Your responsibilities
When using Custodian, you are responsible for:
- Using the service lawfully.
- Maintaining appropriate authorization for information you upload.
- Respecting the rights of third parties.
- Keeping account credentials secure.
- Managing authorized workspace access appropriately.
- Maintaining reasonable backups where your business requires them.
- Reviewing exported information before sharing it externally.
- Complying with laws applicable to your own business activities.
17. Acceptable use
You may use Custodian only for lawful purposes and in accordance with these Terms.
You must not use Custodian to:
- Break applicable law or regulation.
- Commit or facilitate fraud.
- Impersonate another person or organization unlawfully.
- Harass, threaten or unlawfully discriminate against another person.
- Collect personal information without an appropriate lawful basis.
- Store or distribute unlawful content.
- Violate intellectual-property rights.
- Violate privacy or confidentiality obligations.
- Send unlawful spam or unsolicited communications.
- Introduce viruses, malware or other harmful code.
- Attempt unauthorized access to systems or information.
- Attempt to bypass access-control mechanisms.
- Interfere with the normal operation of Custodian.
- Probe or test security without authorization.
- Use automated systems to overload or abuse the service.
- Scrape data in violation of these Terms or applicable law.
- Reverse engineer Custodian except where such restriction is prohibited by law.
- Resell access to Custodian without authorization.
18. Unauthorized access
You must not access, attempt to access or assist another person in accessing any account, workspace, database, file or other information for which you do not have authorization.
Discovery of a technical weakness does not give you permission to access information belonging to other users.
19. Security research
Custodian may establish a responsible vulnerability-disclosure procedure before public launch.
Security researchers must follow any published security-testing rules and must not intentionally access, destroy, alter or disclose user information without authorization.
20. Privacy
Custodian's processing of personal information is described in the Privacy Policy.
The Privacy Policy forms an important part of the overall framework governing Custodian.
21. Private workspace information
Custodian is designed so that business contacts stored inside private workspaces are not made publicly searchable merely because they have been entered into the service.
Custodian may introduce optional sharing or public-profile functionality in future versions, but such functionality would be subject to separate controls and disclosures.
22. Data exports
Custodian may allow authorized users to export certain workspace information.
After data has been exported from Custodian, the user or organization controlling the exported file is responsible for storing, transferring and protecting that information appropriately.
23. Data imports
Custodian may allow users to import contacts or other information from supported files or third-party services.
You are responsible for ensuring that you have the necessary rights and authorization to import that information.
Custodian may reject or limit imports that are malformed, technically incompatible, abusive or likely to threaten the stability or security of the service.
24. Duplicate records
Custodian may provide tools intended to detect or merge duplicate records.
Automated duplicate detection may not always identify records correctly. Users remain responsible for reviewing changes before permanently merging or deleting important business information where the product provides such an opportunity.
25. Reminders and notifications
Custodian may provide reminders, alerts or notifications related to contacts, tasks, follow-ups, workspace activity or account security.
Notifications are provided for convenience and should not be relied upon as the sole method for meeting critical legal, contractual, financial or business deadlines.
Delivery may be affected by device settings, network conditions, third-party notification services or other circumstances outside Custodian's control.
26. Third-party integrations
Custodian may allow users to connect third-party services such as email, calendars, cloud storage or other business applications.
Your use of third-party services is also subject to the terms and privacy practices of those providers.
Custodian is not responsible for independent third-party services outside its reasonable control.
27. Third-party links
Custodian may contain links to external websites or services.
A link does not necessarily mean that Custodian endorses or controls the linked service.
Users should evaluate third-party websites and services independently.
28. Intellectual property
Custodian and its licensors retain all applicable rights in the Custodian software, website, branding, visual design, source code, object code, databases, documentation and original content provided as part of the service.
Except for the limited rights necessary to use the service, these Terms do not transfer Custodian's intellectual-property rights to users.
29. Limited right to use Custodian
Subject to these Terms, Custodian grants authorized users a limited, non-exclusive, non-transferable and revocable right to access and use the service for its intended purposes.
This right does not include ownership of Custodian's software or intellectual property.
30. Custodian branding
The Custodian name, logos, product identity and other brand elements may not be used in a way that falsely suggests sponsorship, partnership, endorsement or affiliation without appropriate permission.
31. Feedback
Users may voluntarily provide feedback, ideas or suggestions concerning Custodian.
Unless otherwise agreed in writing, Custodian may use voluntary product feedback to develop and improve the service without creating an obligation to compensate the person providing that feedback.
This does not transfer ownership of unrelated confidential business information submitted through the service.
32. Beta and pre-release services
Before general release, Custodian may provide beta, preview, test or early-access versions of the service.
Pre-release functionality may:
- Contain errors.
- Change without notice.
- Be temporarily unavailable.
- Have limited functionality.
- Be removed before general release.
- Use test data or test infrastructure.
Users should not rely on beta versions as the sole repository for irreplaceable business-critical information.
33. Product changes
Custodian may add, modify or discontinue features as the product develops.
Changes may be made for reasons including product improvement, security, technical requirements, legal compliance or changes to third-party services.
Where appropriate, Custodian may provide advance notice of material changes affecting paid users.
34. Service availability
Custodian aims to maintain a reliable service but cannot guarantee that every feature will be available continuously or without interruption.
The service may be temporarily unavailable because of:
- Maintenance.
- Updates.
- Infrastructure failures.
- Internet outages.
- Third-party service failures.
- Security incidents.
- Events outside reasonable control.
35. Backups
Custodian may maintain backups as part of its operational and disaster recovery procedures.
Unless a specific service commitment states otherwise, backups should not be treated as a substitute for any independent records or backup procedures your organization is legally or commercially required to maintain.
36. Subscriptions and paid plans
Custodian is currently provided free of charge. Users are not required to purchase a subscription or provide payment information to access the features currently available in the application.
Custodian may introduce optional paid plans, subscriptions, or additional premium features in the future.
Paid services will not be introduced without disclosing the applicable pricing, billing conditions, features, and cancellation terms. Existing users will be informed of material changes as required by applicable law.
37. Automatic renewals
If Custodian introduces automatically renewing subscriptions, the renewal terms will be clearly disclosed before purchase.
Users will be provided with cancellation options in accordance with applicable law and the rules of the relevant payment platform.
38. Payments
Payments may be processed by third-party payment providers or application stores.
Payment providers may apply their own terms and privacy policies to payment transactions.
Custodian's final payment infrastructure will be identified before paid services are launched.
39. Taxes
Prices may be subject to taxes, duties or other governmental charges depending on the customer's location and applicable law.
The final pricing model will explain whether applicable taxes are included in or added to displayed prices.
40. Refunds
Refund and cancellation rules will be established before paid Custodian plans are introduced.
Any refund rights required by applicable consumer-protection laws or application-store rules will continue to apply.
41. Suspension
Custodian may temporarily restrict or suspend access where reasonably necessary to:
- Protect the security of the service.
- Prevent fraud or abuse.
- Investigate suspected unauthorized access.
- Prevent harm to other users.
- Respond to legal requirements.
- Address material violations of these Terms.
- Address non-payment of applicable fees.
Where appropriate and legally permitted, Custodian may provide notice or an opportunity to resolve the issue.
42. Termination by users
Users may stop using Custodian at any time.
Account-deletion and subscription-cancellation procedures will be provided where applicable.
Leaving a business workspace does not necessarily require deletion of business information belonging to that workspace.
43. Termination by Custodian
Custodian may terminate or restrict an account where reasonably necessary because of:
- Serious or repeated violations of these Terms.
- Fraudulent activity.
- Security threats.
- Illegal use of the service.
- Required legal action.
- Material non-payment.
Termination procedures will be applied consistently with applicable law and any contractual commitments made to business customers.
44. Effect of termination
After termination or deletion of an account, access to some information may no longer be available.
Information may nevertheless be retained where required or permitted for legitimate purposes such as:
- Legal compliance.
- Security investigations.
- Fraud prevention.
- Dispute resolution.
- Financial records.
- Backup and disaster recovery.
Additional information is provided in the Privacy Policy and Account & Data Deletion page.
45. Account and data deletion
Custodian provides an in-app process for permanent deletion of an eligible user's account.
Users are responsible for reviewing important information and resolving workspace ownership requirements before confirming irreversible deletion actions.
Deleting an individual account does not necessarily delete information maintained by a business workspace controlled by another owner.
Workspace Owners may transfer ownership to an eligible existing member or permanently delete an owned workspace where the applicable deletion requirements have been satisfied.
Permanent workspace deletion can result in the irreversible loss of contacts, company records, notes, tags, follow-ups, and associated files.
These provisions do not limit statutory privacy rights or excuse Custodian from obligations imposed by applicable law.

46. No professional advice
Custodian is a software platform and does not provide legal, financial, accounting, tax, investment or other regulated professional advice merely by providing contact-management tools.
Information generated, organized or displayed by Custodian should not be treated as professional advice unless expressly provided by an appropriately qualified third party.
47. User decisions
Custodian may help organize information about business relationships, but users remain responsible for decisions they make based on that information.
Custodian does not guarantee that a contact, business, company, opportunity or relationship will produce any particular commercial result.
48. No guarantee of stored information accuracy
Information stored in Custodian may originate from users, organizations, imports or third-party integrations.
Custodian does not guarantee that all user-provided information is complete, accurate, current or suitable for a particular purpose.
49. Service disclaimers
To the maximum extent permitted by applicable law, Custodian will be provided subject to the warranties, rights and protections that cannot lawfully be excluded.
Additional warranty disclaimers appropriate to the jurisdictions in which Custodian is offered will be included in the final Terms before public launch.
Nothing in these Terms is intended to exclude rights that cannot legally be excluded.
50. Limitation of liability
The final version of these Terms will include an appropriate limitation of liability framework once Custodian's legal entity, customer types, subscription structure and supported jurisdictions have been established.
Any limitation will be subject to applicable law and will not attempt to exclude liability where such exclusion is prohibited.
Until that framework is finalized, no specific liability cap should be inferred from this pre-launch draft.
51. Business customer responsibilities
Business customers are responsible for configuring their workspaces, assigning appropriate permissions and ensuring that their employees, contractors or other authorized users use Custodian in accordance with applicable internal policies and legal requirements.
52. Indemnity
The final Terms may include appropriate indemnification provisions for business customers where legally and commercially appropriate.
Those provisions will be drafted only after Custodian's legal entity, customer agreements and supported jurisdictions have been established.
53. Compliance with laws
Each user is responsible for complying with laws applicable to their own use of Custodian.
Custodian may restrict availability of certain features in locations where providing those features would create legal or regulatory concerns.
54. Export controls and sanctions
Where applicable, users must comply with relevant trade restrictions, export-control requirements and sanctions laws.
Custodian may restrict service where required by applicable law.
55. App stores
If Custodian is downloaded through a third-party application store, the application store may impose additional terms concerning downloads, subscriptions, payments, refunds or device usage.
Where applicable, app-store terms apply between the user and the relevant app-store provider independently of these Terms.
56. Changes to these Terms
Custodian may update these Terms when the service, business model, legal requirements or operational practices change.
Updated Terms will be published with a revised "Last updated" date.
If changes are material, Custodian may provide additional notice where appropriate or required.
Where applicable law requires renewed agreement to material changes, Custodian will request that agreement.
57. Governing law
The governing law and jurisdiction applicable to these Terms will be specified before public launch after the Custodian operating entity has been established.
Nothing in the final governing-law provision will remove mandatory rights that users may have under applicable law.
58. Dispute resolution
The final Terms will describe the procedure for resolving disputes between Custodian and users or business customers.
This may include an initial requirement to contact Custodian and attempt to resolve the matter informally before formal proceedings are started, where legally appropriate.
No arbitration requirement or jurisdiction-specific dispute process is being imposed through this pre-launch draft.
59. Severability
If a provision of the final Terms is found to be invalid or unenforceable, the remaining provisions are intended to continue in effect to the extent permitted by law.
60. No waiver
A failure to enforce a provision of these Terms on one occasion does not necessarily waive the right to enforce that provision later.
61. Assignment
Users may not transfer their rights or obligations under these Terms where doing so would result in unauthorized transfer of an account or workspace.
Custodian may transfer its rights and obligations as part of a legitimate corporate transaction, restructuring or transfer of the Custodian business, subject to applicable law.
62. Entire agreement
The final Terms, together with applicable policies and any additional written agreement between Custodian and a business customer, will form the agreement governing use of the relevant service.
If a separately executed business agreement expressly conflicts with these Terms, the separately executed agreement may control to the extent stated in that agreement.
63. Support
Information concerning technical support, privacy requests, security reporting and account assistance is available through the Custodian Support Center.
64. Contact
Custodian's official legal and support contact information will be added before public launch.
The final Terms will include the legal name and appropriate contact details for the entity operating Custodian.
